Solvent liquidation
Solvent liquidations also known as Members Voluntary Liquidation (MVL) can be used for a variety of purposes such as:
- Corporation taxation benefits;
- Company or divisional restructuring;
- Striking off dormant companies;
- Tidying the corporate structure;
- Remitting profits to Shareholder in a tax efficient manner (capital v income); and
- Ending the life of a trading business for example at the end of a project.
Advantages
In addition to the tax benefits, MVLs provide a number of advantages over the striking off process such as:
- Protection to shareholders if a creditor claim arises at a later date;
- Avoids potentially being pursued by the treasury for any distribution of share capital; and
- No dormancy requirements.
